1. Acceptance and eligibility
By creating an account, submitting a listing, making an offer, or otherwise using Social Broker, you agree to these Terms of Service. If you do not agree, do not use the platform.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher. You must have the legal capacity to enter binding contracts. Business entities must be validly formed and authorized to act on behalf of the organization.
Each person may maintain only one account. We may restrict or close duplicate or fraudulent accounts as part of our anti-fraud measures.
2. Platform role and limitations
Social Broker operates a marketplace that connects buyers and sellers of social media accounts and related digital assets. We facilitate discovery, verification workflows, contracts, and deal coordination. We are not a party to the underlying asset transfer between buyer and seller.
Social Broker does not custody funds. Escrow.com is the licensed escrow agent for all transactions on the platform. Payment, holding, and disbursement of deal funds are handled exclusively through Escrow.com under its terms and policies.
Social Broker does not take ownership, administrative control, or custody of any social media account listed or sold on the platform. We do not guarantee that any transaction will complete, that any asset will retain its value, or that any transfer will be permanent.
Where applicable, Social Broker may act in a partner role on Escrow.com transactions to facilitate the deal and collect a disclosed platform service fee. That role does not make Social Broker the escrow agent or a guarantor of the transaction.
3. Platform risk disclaimer
Social media platforms may prohibit or restrict account transfers in their own terms of service. Social Broker does not represent that any transfer is endorsed by, permitted by, or compliant with the underlying platform's rules.
Platforms may reverse transfers, suspend accounts, restrict features, or take other enforcement action at their sole discretion. Social Broker cannot prevent, predict, or remedy platform-initiated reversals or suspensions.
By using the marketplace and proceeding with any deal, you accept platform risk explicitly. Social Broker's facilitation of a transaction does not constitute legal advice about whether a transfer complies with a third-party platform's policies.
4. Account obligations
You must provide accurate identity and contact information and keep it current. You must complete identity verification (KYC) or business verification (KYB), as applicable, before funding any transaction through Escrow.com.
You must not impersonate another person, misrepresent your identity, or use false credentials. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
5. Prohibited conduct
You may not use Social Broker for unlawful, fraudulent, or abusive activity. Without limiting other restrictions, you agree not to:
- List assets you do not own or control.
- List stolen, hijacked, or fraudulently obtained accounts.
- Circumvent escrow by arranging off-platform payment for deals initiated through Social Broker.
- Engage in collusion, wash trading, price manipulation, or other deceptive marketplace behavior.
- Harass, threaten, or abuse other users or Social Broker staff.
- Access the platform through automated means without our prior written permission.
We may investigate violations, remove listings, suspend accounts, and cooperate with law enforcement where appropriate.
6. Marketplace listing rules
Listings must reflect assets you control and intend to sell in good faith. Before publication, sellers must demonstrate proof of control as required by our verification process. Listings are subject to operational review.
Listing requirements
- Provide an accurate platform, handle, and description of the asset.
- Disclose known issues such as strikes, bans, monetization holds, or pending enforcement actions.
- Price listings in USD. Sellers set the asking price; buyers see an all-in total before committing.
- Do not list engagement services, bot accounts, bulk-registered inventory, or assets tied to banned or unlawful content.
Offers, deals, and transfers
Offers are binding commitments to purchase at the stated price if accepted. Counteroffers replace prior offers. Acceptance creates a deal and triggers our brokered pipeline, including KYC completion, contract signing, escrow funding, transfer, and inspection.
Sellers must follow the platform-specific transfer playbook provided for the deal. Credential handoff occurs directly between buyer and seller during the inspection window. Social Broker never takes ownership or admin access to any account.
7. Fees
All fees applicable to a deal must be disclosed to the buyer before commitment. The buyer pays the listed sale price plus disclosed platform and escrow fees. The seller receives exactly the listed sale price with no deductions from Social Broker.
- Social Broker platform fee: typically 8% of the sale price, paid by the buyer.
- Escrow.com escrow fee: per Escrow.com's published schedule, paid by the buyer.
- Payment processing surcharge: may apply for certain payment methods under Escrow.com's rules.
Deals cancelled before escrow funding generally incur no platform fees. After funding, cancellation, refund, and fee treatment follow Escrow.com policies and the terms disclosed at checkout. Repeated frivolous cancellations may result in account restrictions.
Because Social Broker never holds deal funds, refunds of escrow principal flow through Escrow.com's dispute and cancellation processes, not through Social Broker.
8. Intellectual property
Social Broker owns its brand, software, website content, and platform materials, subject to third-party rights. You may not copy, modify, or reverse engineer our platform except as permitted by law.
By submitting listing content, you grant Social Broker a non-exclusive license to display, promote, and operate the listing on and in connection with the marketplace.
If you believe content on the platform infringes your intellectual property rights, contact us with a detailed notice. We will review valid claims under an appropriate notice-and-takedown process once finalized by counsel.
9. Limitation of liability
To the fullest extent permitted by applicable law, Social Broker's aggregate liability arising from or related to the platform or any deal is limited to the platform fees we collected from you in the twelve (12) months preceding the event giving rise to the claim.
- We are not liable for platform enforcement actions, account suspensions, or reversals by third-party social networks.
- We are not liable for losses caused by Escrow.com's actions, delays, or failures.
- We are not liable for indirect, incidental, consequential, special, or punitive damages.
Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Social Broker and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the platform or breach of these terms.
- Your violation of a third-party platform's terms or applicable law.
- Claims by third parties related to assets you listed, sold, or purchased.
11. Termination
We may suspend or terminate your account at our discretion, including for violations of these terms, marketplace rules, or applicable law. Where permitted, we will provide notice; immediate action may be taken for fraud, security risks, or legal requirements.
Active deals may continue toward resolution under escrow and contract terms even after account suspension or termination, subject to Escrow.com policies and operational constraints.
Sections that by their nature should survive termination, including platform risk disclaimers, fee acknowledgements, limitation of liability, indemnification, and governing law placeholders, remain in effect.
12. Governing law and dispute resolution
Governing law and dispute resolution will be set by counsel before public launch. This draft does not specify a jurisdiction, arbitration forum, or class action waiver. Those provisions will be added after legal review.
Disputes about deal performance may also be subject to Escrow.com's dispute processes and the buyer-seller transfer agreement for the specific deal.
13. Changes to these terms
We may update these terms from time to time. Material changes will require notice and, where applicable, renewed acceptance before they take effect for active users. The effective date at the top of this page indicates when this draft was last revised.
